These terms and conditions ("Terms") govern your access to and use of the website, platforms, and services provided by OM Technology ("OMTech," "Company," "we," "us," or "our"). By accessing our website or using our services, you agree to be bound by these Terms.
These Terms shall apply when OMTech processes personal data on behalf of the Client under any service agreement the parties have concluded. In addition to these Terms, any specific service agreement signed between the parties shall also apply. In case of inconsistency between these Terms and a specific service agreement, the service agreement shall prevail.
If you do not agree with any part of these Terms, you must discontinue use of our website and services immediately.

The specific scope, features, and terms of each service engagement are defined in the service agreement signed between OMTech and the Client.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services. By using our services, you represent and warrant that you meet these requirements. Our services are designed for businesses and institutional clients operating in the financial services sector.
Each party agrees to comply with all relevant provisions of the GDPR and applicable data protection legislation relating to the data maintained or processed under any agreement between the parties.
We aim to keep our Clients informed about the processing of their personal data, including:
OMTech and its employees shall process personal data in compliance with the applicable data protection legislation, the agreement between the parties, and any written instructions provided by the Client. Should OMTech consider that the Client's instructions infringe data protection legislation, OMTech shall notify the Client without delay.
As the Controller, the Client shall take the necessary measures to ensure that the processing of personal data transferred to OMTech complies with data protection legislation.
OMTech shall take appropriate technical and organizational measures to keep Client data safe, prevent unauthorized or unlawful processing of personal data, and prevent unintentional loss, alteration, destruction, or damage to personal data. These measures include:
Should OMTech have reason to believe that data security has been compromised, OMTech shall notify the Client in writing without undue delay and in any event within 72 hours of becoming aware of the breach, in accordance with Article 33 of the GDPR. Where a breach is likely to result in a high risk to the rights and freedoms of data subjects, OMTech shall also assist the Client in notifying the affected individuals in accordance with Article 34 of the GDPR. OMTech shall document all violations, including the facts relating to the violation, its effects, and the remedial action taken.
OMTech may transfer personal data within the European Union or the European Economic Area in order to provide the required services. If personal data is processed outside the European Union, each party shall ensure that such processing complies with applicable data protection legislation and that appropriate safeguards are in place, including but not limited to:
Unless otherwise agreed in writing, OMTech is entitled to use another data processor as its subcontractor in the processing of personal data. At the Client's written request, OMTech shall inform the Client of the subcontractor(s) it uses.
When OMTech uses a subcontractor in the processing of personal data:
Before changing any subcontractor participating in the processing of personal data or hiring new subcontractors, OMTech shall notify the Client in writing without undue delay. If the Client does not approve the change, OMTech reserves the right to terminate the agreement by giving 30 days' notice.
During the period of validity of the agreement, OMTech shall not delete any personal data processed on behalf of the Client unless specifically requested by the Client. In some cases, OMTech may be obliged to retain data to comply with legal obligations, resolve disputes, or enforce agreements.
Upon expiry of the agreement, OMTech shall, according to the Client's choice, either delete all personal data processed on behalf of the Client or return it to the Client and delete all copies, unless applicable legislation or regulatory authorities require OMTech to retain it.
The Client or an auditor mandated by the Client has the right to audit whether OMTech meets its obligations related to the processing of personal data in order to assess compliance with these Terms and applicable data protection legislation.
OMTech assures the Client's right to audit OMTech's subcontractors. Any audits conducted by the Client shall not limit the obligations and responsibilities of OMTech or its subcontractors. Each party shall be liable for its own audit costs.
All content on our website, including text, graphics, logos, images, software, source code, and design elements, is the property of OMTech or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or reproduce any content without our prior written consent.
The licensing, usage rights, and intellectual property terms for our white-label technology solutions are governed by the separate service agreement between OMTech and the Client. These Terms apply to the general use of our website and publicly available services. Any proprietary technology, algorithms, and source code developed by OMTech remain the exclusive intellectual property of OMTech.

To the maximum extent permitted by applicable law, OMTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our website or services, including but not limited to loss of profits, data, business opportunities, or goodwill.
Our total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the total amount paid by you, if any, for accessing our services during the twelve (12) months immediately preceding the event giving rise to the claim.
If a party fails to comply with these Terms and/or the GDPR, it shall indemnify the other party against any loss or damage sustained as a result of that failure, including but not limited to any fine which may be levied under the GDPR.
Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability. OMTech does not warrant that our services will be error-free, secure, or available at all times.
You agree to indemnify, defend, and hold harmless OMTech, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with your use of our services, your violation of these Terms, or your infringement of any third-party rights.
Our services may integrate with or contain links to third-party services, platforms, or websites. OMTech is not responsible for the content, terms, privacy practices, or availability of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.
We reserve the right to suspend or terminate your access to our website and services at any time, with or without cause and with or without notice, if we reasonably believe that you have violated these Terms or engaged in conduct that could harm OMTech, our clients, or our systems.
Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall continue to apply, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OMTech operates. Any disputes arising from or in connection with these Terms shall be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration or adjudicated in the courts of the applicable jurisdiction.
We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting the revised Terms on this page with an updated "Last updated" date. Your continued use of our website and services after changes are posted constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
